This Terms of Use Agreement (the “Agreement”) is a legally binding contract between Keyan LLC, a limited liability company organized under the laws of Wyoming, and the client, whether acting personally or on behalf of an entity (“Client”). This Agreement governs Client’s access and use of the Company’s website and any related media forms, channels, mobile websites, or applications. By using the website, the Client agrees to adhere to all terms, conditions, and obligations stated herein. If the Client does not agree, they must discontinue use immediately. Any obligation for payment due to the Company remains enforceable.
1. Intellectual Property Rights
The Company owns and controls all rights to the website content, including databases, software, website designs, text, graphics, and trademarks (“Content” and “Marks”). Content and Marks are protected by intellectual property laws. The Client agrees not to copy, reproduce, distribute, or exploit any portion of the Content or Marks for commercial purposes without prior written permission from the Company.
2. Ownership of Project Materials
All original design and source files created by the Company for the Client (“Projects”) are owned by the Client. The Client retains sole copyright ownership of completed Projects unless otherwise stated. The Client warrants that any materials provided to the Company for Project use are owned by the Client and do not infringe on any third-party rights.
3. Third-Party Fonts and Materials
If a Project includes third-party fonts or materials requiring a license, the Company will inform the Client in writing. The Client is responsible for purchasing required licenses for these third-party elements.

The Client agrees not to engage in activities that would harm the website’s functionality or the Company’s reputation, including unauthorized use, data scraping, reverse engineering, or any behavior intended to compete with the Company. Any prohibited use may result in restricted access.
6. Client Feedback
Any feedback or suggestions provided by the Client (each a “Submission”) becomes the property of the Company. The Company reserves the right to use Submissions for any lawful purpose without compensation to the Client.
